creating, restoring, and using self-custody wallets;
holding, viewing, and managing supported digital assets;
delegating or staking supported assets;
accessing tokenised real-world asset (RWA) protocols;
swapping, trading, or otherwise interacting with digital assets (“Digital Assets”) through integrated decentralized protocols;
interacting with USDA or other stablecoins and related protocols;
accessing card or payment rails offered by independent, regulated third-party providers; and
viewing consolidated information and analytics about your on-chain positions.
Self-custodial design. SecondFi is designed to be non-custodial. We do not take possession of, or have any ability to unilaterally transfer, your Digital Assets. Control over your Digital Assets is effected through cryptographic private keys, seed phrases, or other credentials that are generated, stored, and controlled by you or your chosen wallet provider, not by SecondFi.
Accounts and wallets. Any “account”, profile, or login you create or use on the Platform is a user interface profile only and does not itself hold, custody, or control any assets, nor does it create any depositor, creditor, or similar relationship between you and SecondFi. Your Digital Assets are held only in the self-custody wallets and smart contracts that you control (or that are controlled by your chosen wallet or service provider), not in any account with SecondFi.
On-chain, protocol-level interactions. When you use the Platform, you typically interact directly with autonomous smart contracts, blockchain networks, and third-party services. Transactions are executed on underlying networks and are generally irreversible once submitted. We do not execute or clear trades between Users and are not a party to your on-chain transactions.
Transaction timing and network delays. The time required for a transaction to be confirmed, settled, or finalised on a blockchain network is determined solely by the relevant network and its participants (including validators, miners, and other network nodes) and is entirely outside SecondFi's control. Factors including, but not limited to, network congestion, block confirmation requirements, gas or network fee levels, validator availability, and protocol rules may cause transactions to be delayed, pending for an indeterminate period, or, in exceptional circumstances, dropped or failed. SecondFi makes no representation, warranty, or guarantee as to the speed, timing, or confirmation of any transaction submitted through or in connection with the Platform. You are solely responsible for setting appropriate network fees and for monitoring the status of your transactions. SecondFi shall have no liability for any loss, damage, or missed opportunity arising from any delay in, or failure of, transaction confirmation or settlement.
No bank, broker, exchange or fiduciary role. Neither SecondFi nor its parent entity, parent group, or affiliates is a bank, credit institution, deposit-taking institution, broker, dealer, exchange, multilateral trading facility, alternative trading system, investment adviser, trustee, fiduciary, payment institution, e-money institution, or other licensed financial services provider, and none provides custodial services in relation to Digital Assets. Any use on or in connection with the Platform of terms such as "Second Bank", "banking", "account", "your account", "balance", "deposit", or similar labels, marketing language, or user interface elements is for descriptive or convenience purposes only and does not mean that SecondFi or its parent entity, parent group, or affiliates operates as a bank, deposit-taking institution, or licensed financial services provider, or that any particular regulatory protections applicable to bank accounts, deposits, payments, e-money, or regulated financial products apply to your use of the Platform.
Illustrative comparisons only. Any comparisons, analogies, or references on or in connection with the Platform to banks, bank accounts, deposits, deposit insurance, investment products, yields, returns, or other financial products or benchmarks are illustrative only and do not imply that the same or similar legal, regulatory, or compensation protections (including deposit insurance or investor compensation schemes) apply to your use of the Platform or to any Digital Assets.
Regulated activities via third-party partners. Where any element of the SecondFi offering constitutes, or is integrated with, a regulated financial service (for example, issuance of payment cards, e-money, payment accounts, fiat on/off-ramp services, or other regulated financial services), such regulated activity is performed solely by independent third-party providers licensed or otherwise authorised in the relevant jurisdictions, and your relationship for that activity will be directly with such provider under its own terms and conditions.
Regulatory status. Neither SecondFi nor its parent entity, parent group, or affiliates is authorised or licensed to provide regulated financial, investment, payment, e-money, banking, deposit-taking, custody, exchange, brokerage, or advisory services in any jurisdiction. Our role is limited to providing a non-custodial technical interface that enables you to interact with blockchain networks, smart contracts, and third-party services. Any regulated products or services that you access through or in connection with the Platform are provided solely by independent third-party providers that hold any licences or authorisations required in the relevant jurisdictions, and your rights and obligations in relation to those regulated products or services are governed exclusively by the terms and conditions of those providers.
No personal financial advice. Information presented on the Platform (including analytics, educational content, or token information) is for general informational purposes only and does not constitute investment, financial, legal, tax, accounting, or other professional advice.
Curation and presentation of products. Any grouping, categorisation, labelling, ranking, tagging, filtering, highlighting, or other presentation of Digital Assets, protocols, strategies, yields, or products on or via the Platform (including any “curated” lists, featured tiles, or similar displays) is provided solely for user experience, navigation, and informational purposes. Such presentation does not constitute, and should not be relied on as, investment, financial, or other advice, a personalised recommendation, suitability or appropriateness assessment, or any form of prioritisation based on your objectives, profile, or circumstances.
Save (self-custodial vaulting). The Platform may provide interfaces and tools that allow you to create or connect self-custody wallets and to view and manage your Digital Assets across supported networks. You remain solely responsible for safeguarding the private keys, seed phrases, passphrases, passwords, and any other security credentials associated with your wallets.
Invest (staking and RWA access).
The Platform may enable you to delegate or stake supported assets to selected stake pools or protocols and to allocate assets to tokenised RWAs or similar products made available by independent third-party providers.
Any staking rewards or yields depend on protocol behaviour, market conditions, counterparty performance, and other factors outside our control; they are not guaranteed.
You are solely responsible for performing due diligence and determining whether any staking or RWA product is appropriate for you, including with respect to any regulatory or tax obligations.
3.3.
Trade (on-chain swaps and trading).
The Platform may provide routing, aggregation, or interface functionality to initiate swaps and trades between supported Digital Assets via decentralized exchanges, automated market makers, or other smart contracts.
SecondFi does not intermediate your trades, hold your assets in escrow, act as a counterparty, or operate any decentralized exchange, automated market maker, liquidity pool, order book, matching engine, or other execution venue for swaps or trades. Except where expressly disclosed otherwise, swap and trade execution is performed by independent third-party protocols or smart contracts and occurs directly on-chain via such protocols or smart contracts, which operate autonomously once deployed.
Prices of Digital Assets are highly volatile, and you may lose all or a substantial portion of the value of any asset you acquire. Neither listings nor availability of any Digital Asset or pool on the Platform constitute an endorsement or recommendation by SecondFi.
Stablecoin risk. Certain Digital Assets accessible through the Platform are designed or marketed as stablecoins, including assets intended to maintain a peg to a fiat currency, commodity, or other reference asset (such as USDA or other stablecoins). Stablecoins carry specific risks including, without limitation: (a) depegging, whereby the market price of the stablecoin falls below or diverges significantly from its intended peg; (b) loss of value, including to zero, due to failures in the underlying collateralisation mechanism, algorithmic design, issuer insolvency, or market conditions; (c) illiquidity, including an inability to redeem, sell, or transfer the stablecoin at its face or intended value; and (d) regulatory action that restricts or prohibits the issuance, holding, transfer, or use of a particular stablecoin. SecondFi does not guarantee the peg, value, redeemability, or liquidity of any stablecoin, and shall have no liability for any loss arising from any of the foregoing risks.
In some cases, the Platform may present suggested multi‑step or cross‑chain routes (for example, using aggregators, bridges, or intermediate assets) to help you achieve a desired outcome (such as holding a particular stablecoin on a particular network). Any such route is generated based on parameters and data sources we select, may involve smart contracts and third‑party providers outside our control, and is provided for your convenience only. You remain solely responsible for reviewing and approving each transaction step. We do not guarantee the availability, cost, timing, or success of any suggested route, and we are not responsible if a particular route fails, becomes unavailable, or results in different outcomes (including prices, fees, or networks) than expected.
Any quotes, price estimates, slippage ranges, fees, or cost breakdowns displayed in the Platform interface in connection with a proposed swap or trade (including network fees) are indicative only and may differ from the actual execution price, slippage, or fees incurred once the transaction is submitted on-chain. You bear all risks of price movement, slippage, fees, and other execution outcomes, and we are not responsible if the actual results differ from any estimates shown.
Spend (card and payment rails).
The Platform may allow you to link eligible wallets or balances to co-branded or third-party card programs (including Visa or other card schemes) and payment services, enabling you to spend Digital Assets or related fiat balances in real-world transactions.
Such cards and payment services are issued, operated, and regulated by independent third-party providers, and your rights and obligations in relation to those services are governed exclusively by the terms and policies of the relevant provider and card scheme. By applying for, activating, funding, linking, or using any such card or payment service, you agree to the applicable provider and card scheme terms and conditions.
SecondFi is not responsible for the availability, performance, fees, chargebacks, reversals, consumer protections, or regulatory compliance of any card or payment service.
On‑chain or ledger balances associated with any card or payment service (for example, balances displayed as a 'Card account' on a particular network) are issued, held, and recorded by the relevant third‑party provider or protocol, not by SecondFi. By transferring, allocating, converting, or otherwise making funds or Digital Assets available to any such card account, payment balance, provider wallet, or related account, you authorise the relevant third‑party provider, protocol, card issuer, payment processor, and card scheme to receive, hold, convert, debit, transfer, settle, freeze, return, or otherwise deal with those funds or Digital Assets in accordance with their applicable terms, scheme rules, and applicable law. Any such balance does not constitute a bank deposit or an account with SecondFi, and is subject solely to the terms and regulatory protections (if any) of the relevant provider and applicable law.
Financial crime compliance. You must not use the Platform in any manner that violates, or is intended to facilitate the violation of, any applicable anti-money laundering, counter-terrorist financing, sanctions, anti-corruption, or similar financial crime laws. We may, at our discretion and without liability, restrict, suspend, or terminate your access to the Platform, or take any other action we consider appropriate, where we reasonably believe that your activities are or may be associated with financial crime risk or that such action is necessary to comply with applicable law, regulation, or requests from competent authorities. We are not obliged to monitor transactions or users, perform customer due diligence, or implement any particular compliance programme in relation to your use of the Platform, and any such measures we choose to implement are without prejudice to your own compliance obligations.
Eligibility. You may use the Platform only if you:
are at least 18 years old (or the age of legal majority in your jurisdiction, if higher);
have full legal capacity to enter into these Terms;
are not subject to any sanctions or restrictions that prohibit your use of the Platform; and
are not otherwise barred from using the Platform under applicable law.
4.3.
Compliance with law. You are solely responsible for understanding and complying with all laws, regulations, and rules that apply to your use of the Platform, Digital Assets, or any related products or services in any jurisdiction that may be applicable to you.
Travel Rule and transfer information. You acknowledge that transfers of Digital Assets, including transfers from the Platform or your self-custody wallet to or from regulated exchanges, custodians, other virtual asset service providers, or other wallets, may be subject to laws, regulations, rules, standards, or requests relating to the collection, verification, transmission, disclosure, or retention of originator and beneficiary information, including so-called "Travel Rule" requirements. If you fail to provide required information, provide inaccurate or incomplete information, or initiate a transfer to or from a provider or wallet that is unable or unwilling to process the transfer, the relevant transaction may be delayed, rejected, blocked, frozen, returned, or otherwise fail, and you may experience difficulty tracing, evidencing, recovering, or obtaining access to the relevant Digital Assets. You are solely responsible for ensuring that you can provide any information required by applicable law or requested by a recipient, recipient service provider, wallet provider, exchange, protocol, payment provider, or other third party in connection with any transfer you initiate or receive. SecondFi is not responsible for collecting, verifying, transmitting, tracing, recovering, or supplementing Travel Rule or similar transfer information on your behalf. Before initiating any transfer, you should ensure that you have sufficient information and records to comply with any applicable Travel Rule requirements or recipient requests, and to help trace, evidence, or seek recovery of transferred assets if necessary.
Inbound wallet transfers and displayed values. If you transfer Digital Assets from another wallet, exchange, custodian, protocol, or service provider to a wallet, address, smart contract, or feature accessed through or in connection with the Platform, you are solely responsible for reviewing and approving the transfer, including the asset, network, destination address, amount, fees, and any displayed valuation or conversion estimate. Any value, balance, fiat equivalent, exchange rate, conversion amount, or similar information displayed by SecondFi in connection with such transfer is indicative only, may be based on third-party data or market conditions at a particular time, and may differ from the value, rate, amount, price, fee, or outcome ultimately recorded, executed, settled, or displayed by any blockchain network, protocol, wallet, exchange, custodian, or other third party. By initiating or accepting any such transfer, you acknowledge and accept the Platform-displayed values on that basis and agree that, to the maximum extent permitted by law, SecondFi is not responsible or liable for any discrepancy, delay, failed transfer, rejected transfer, loss, price movement, slippage, fee, network issue, third-party action or inaction, or other outcome arising from or relating to that transfer or your reliance on any displayed value or estimate.
Warnings. The Platform may display warnings, prompts, notices, or other information before or in connection with certain transfers or operations, including warnings relating to Travel Rule, sanctions, fraud, network, wallet, or counterparty risks. Any such warnings are provided for convenience and informational purposes only, may be incomplete, inaccurate, or not displayed in all cases, and do not constitute compliance, legal, financial, or other professional advice. Whether or not we display any warning does not affect your sole responsibility for the relevant transaction or limit or expand any disclaimer, exclusion, or limitation of liability in these Terms.
Product‑specific eligibility. Certain products, features, or services accessible via the Platform may only be available to users who meet specific eligibility criteria (for example, residence or location, regulatory status, wealth or sophistication thresholds, or other requirements imposed by law, regulation, or our partners). The fact that a product, feature, or service appears in the Platform interface does not mean that it is available or appropriate for you in your jurisdiction. You are solely responsible for determining whether you are eligible to access or use any particular product, feature, or service and for complying with all applicable eligibility, suitability, and regulatory requirements.
Geo‑controls and segmentation. We may, at our discretion and without liability, restrict, block, disable, or limit access to all or part of the Platform, or to specific products, features, or services, for users in certain jurisdictions or user segments (for example, retail users in particular countries) where we consider this necessary or appropriate for legal, regulatory, risk, or commercial reasons. Any such restrictions may be based on information you provide to us, technical measures (including geolocation or IP‑based controls), third‑party data, or other criteria we determine. You must not use VPNs, proxies, or other techniques to circumvent any geo‑blocking or eligibility controls that apply to you.
Wallet security. You are solely responsible for:
maintaining the confidentiality and security of your wallets and credentials;
implementing appropriate security measures (for example, secure backups, hardware wallets, multi-factor authentication where supported); and
promptly taking action if you suspect loss, compromise, or unauthorised use of any wallet or credential.
Wallet address verification. Before submitting any transaction, you must carefully verify the full destination address, network, asset type, and amount. Blockchain addresses are case-sensitive and network-specific; sending Digital Assets to an incorrect, incompatible, or unintended address is irreversible and will result in permanent loss. You should be aware of address-poisoning attacks, in which a malicious actor sends a small transaction from an address that closely resembles a legitimate address you have previously used, with the intention of causing you to copy and use the malicious address in a future transaction. You must verify destination addresses in their entirety — not only the first or last few characters — immediately before each transaction is submitted. SecondFi does not verify destination addresses on your behalf and shall have no liability for any loss arising from your failure to verify an address or from address-poisoning or similar attacks.
4.11.
Lost credentials and irreversible transactions. We cannot recover lost credentials (including private keys, seed phrases, passphrases, passwords, or recovery information), undo or reverse any transaction that you authorise or sign, or that appears to originate from your wallet or devices (including transactions initiated as a result of your error, loss or compromise of credentials, phishing, malware, unauthorised access to your devices or accounts, or interaction with malicious or faulty smart contracts), or otherwise restore or reimburse any Digital Assets that are lost, sent to an incorrect or unintended address, or become inaccessible as a result of such events.
Prohibited conduct. You must not use the Platform to:
engage in any unlawful, fraudulent, or deceptive activity (including money laundering, terrorist or proliferation financing, sanctions evasion, or market manipulation);
violate any applicable sanctions, export controls, or financial crime laws;
transmit malware, exploits, or any code that disrupts the security or operation of the Platform or any protocol;
attempt to gain unauthorised access to any systems, smart contracts, accounts, or data;
infringe intellectual property or other rights of any person; or
(f)
circumvent, disable, or interfere with any security or technical features of the Platform.
4.13.
Taxes, fees and reporting. You are solely responsible for all taxes, duties, reporting obligations, network fees (gas), and third-party service fees arising from your use of the Platform or Digital Assets. SecondFi does not provide tax advice.
The Platform may integrate, reference, or link to products, services, content, or smart contracts provided by third parties, including but not limited to wallets, decentralized exchanges, RWA platforms, staking providers, card issuers, fiat on/off-ramps, data providers, and other applications.
Such third-party services are independent of SecondFi. We do not control them, are not responsible for their availability, performance, security, legality, or accuracy, and do not endorse or recommend them.
5.3.
Your use of any third-party service is subject to that provider's own terms, conditions, and privacy policy, and you are solely responsible for reviewing and complying with them. Before accessing or using any third-party product or service through or in connection with the Platform, you must read and accept the applicable provider's terms and policies. Any consumer protections, including without limitation any rights or remedies relating to chargebacks, refunds, dispute resolution, security standards, or card scheme or network protections, arise solely from and are provided by the relevant third-party product and service providers (and, where applicable, the relevant card schemes or payment networks), not by SecondFi.
5.4.
Where a third-party provider makes data available to SecondFi through APIs, integrations, webhooks, blockchain indexers, or similar technical means, you authorise SecondFi to access, receive, process, and display that data for Platform interface, reporting, analytics, support, reconciliation, compliance, and related operational purposes, subject to our applicable privacy notices and any permissions or settings made available by the relevant provider.
5.5.
If you experience any issue, error, dispute, failed transaction, chargeback, reversal, suspension, freeze, or loss relating to a third-party product or service, you must contact the relevant third-party provider directly for support. SecondFi may, but is not obliged to, provide general interface or routing support and cannot investigate, resolve, reverse, refund, or otherwise remedy issues that are within the control or responsibility of a third-party provider, card scheme, payment network, protocol, or blockchain network.
5.6.
When you elect to access or use a third-party product or service through or in connection with the Platform, you authorise SecondFi to take such technical, operational, and administrative steps as SecondFi considers necessary or appropriate to enable, facilitate, transmit, display, or otherwise support your requested access to that third-party product or service and any related transactions, instructions, data flows, or interactions. This authorisation does not make SecondFi a party to, provider of, custodian for, or guarantor of any such third-party product, service, or transaction.
5.7.
Third‑party disruptions and insolvency. Disruptions, failures, security incidents, freezes, suspensions, or insolvency events affecting third‑party providers (including without limitation card issuers, payment processors, RWA platforms, custodians, stablecoin issuers, and other service providers) may result in delays, inability to access or use certain products or services, or loss, unavailability, or impairment of assets or balances held with or through such providers. To the maximum extent permitted by law, SecondFi is not responsible or liable for any such events or their consequences.
The Platform and any particular feature (including Save, Invest, Trade, or Spend functionality) may be modified, suspended, or discontinued at any time, with or without notice, including due to maintenance, upgrades, legal or regulatory changes, security incidents, or decisions by us or relevant third parties.
6.2.
We do not guarantee that the Platform, or any part of it, will be available at any particular time or without interruption or error.
6.3.
Events beyond SecondFi's control. SecondFi shall not be liable for any failure or delay in performing its obligations, or for any unavailability of the Platform or any feature, to the extent that such failure, delay, or unavailability is caused or contributed to by circumstances beyond SecondFi's reasonable control, including without limitation: acts of God; natural disasters; pandemic or epidemic; war, terrorism, civil unrest, or armed conflict; action or inaction by any government, regulator, or competent authority (including the imposition of sanctions, the introduction of new laws or regulations, or enforcement action); infrastructure failures (including failures of the internet, telecommunications networks, cloud providers, or electricity supply); denial-of-service or cyberattacks on SecondFi's systems or third-party infrastructure; blockchain network outages, protocol failures, or actions of miners, validators, or other network participants; or any other event outside SecondFi's reasonable control. In such circumstances, SecondFi will use reasonable endeavours to resume normal operation as soon as practicable.
You acknowledge that blockchain networks and smart contracts involve inherent risks, including but not limited to technical defects, vulnerabilities, forks, reorganisations, congestion, downtime, and attacks. These events may result in total or partial loss, theft, or inaccessibility of your Digital Assets or an inability to complete transactions at expected times or prices.
7.2.
Once deployed, smart contracts generally cannot be altered by us and execute autonomously. Interacting with any smart contract through the Platform is at your sole risk.
7.3.
Smart contract audits. Smart contracts, if made accessible through the Platform, may have been subject to independent security audits by third-party auditors. Where audit reports are made available, they are provided for informational purposes only. The existence of an audit does not guarantee that a smart contract is free from bugs, vulnerabilities, exploits, or errors, and past audits do not cover code changes made after the audit date. No audit constitutes a warranty or representation by SecondFi or any auditor as to the security, correctness, or fitness for purpose of any smart contract. You should conduct your own assessment before interacting with any smart contract, regardless of whether it has been audited.
7.4.
We do not guarantee the functionality, security, or availability of any blockchain network or smart contract, whether or not developed by us.
7.5.
Forks, protocol upgrades, and network splits. Blockchain networks and protocols may be subject to hard forks, soft forks, protocol upgrades, governance changes, or network splits at any time. Such events may result in: (a) the creation of duplicate or derivative assets that may or may not be supported on the Platform; (b) changes to the rules, economics, or behaviour of a network or protocol in ways that affect the value, utility, or transferability of Digital Assets; (c) one or more versions of a forked network or protocol becoming unsupported by the Platform or by third-party wallets, exchanges, or service providers; or (d) temporary or permanent inaccessibility of Digital Assets. SecondFi is not obliged to support any forked network, duplicate asset, or upgraded protocol, and reserves the right to determine in its sole discretion which networks, protocols, and assets are supported on the Platform at any time. SecondFi shall have no liability for any loss, inaccessibility, or diminution in value arising from any fork, upgrade, or network split.
7.6.
Liquidation risk. Certain protocols or products accessible through the Platform may involve collateralised positions, lending, borrowing, or similar mechanisms under which your Digital Assets may be subject to automatic, on-chain liquidation if the value of your collateral falls below a required threshold or other protocol-defined conditions are met. Liquidations are executed autonomously by smart contracts and may occur without prior notice to you. SecondFi has no ability to prevent, delay, or reverse any liquidation, and is not responsible for monitoring your positions or notifying you of margin calls, liquidation risk, or liquidation events. You are solely responsible for monitoring your positions, maintaining adequate collateral levels, and understanding the liquidation mechanics of any protocol you use. Liquidation may result in the total or partial loss of your Digital Assets.
7.7.
Oracle and price feed risk. Smart contracts accessible through or in connection with the Platform may rely on third-party oracles, price feeds, or data sources to determine asset prices, collateral values, interest rates, liquidation thresholds, or other parameters. Oracles and price feeds may be subject to manipulation, latency, inaccuracy, downtime, or failure, whether due to technical faults, market conditions, or deliberate attack. Any such oracle or price feed failure or manipulation may cause smart contracts to execute at incorrect prices, trigger unintended liquidations, or produce other adverse outcomes. SecondFi does not operate, control, or guarantee the accuracy, availability, or reliability of any oracle or price feed used by any smart contract, and shall have no liability for any loss or adverse outcome arising from any oracle or price feed error, failure, or manipulation.
7.8.
In some cases, the Platform or a third‑party service may facilitate transactions by submitting them via relayer infrastructure, meta‑transactions, or similar mechanisms (including gas sponsorship or fee subsidies). Even where such mechanisms are used, (a) any transaction is deemed to be authorised by you and executed on your behalf based on your instructions; (b) we do not acquire any ownership interest in your Digital Assets; and (c) our role is limited to facilitating technical submission and not to acting as a custodian, trustee, escrow agent, or fiduciary in relation to your assets.
Any facts, figures, yields, APRs/APYs, projections, risk scores, or similar metrics or information relating to specific Digital Assets, protocols, pools, issuers, or products that are displayed in the Platform (other than generic analytics derived from onchain data) are provided by the relevant issuers, partners, or other third-party data providers, or are pulled from third-party data sources. Such information is not independently verified, audited, or endorsed by SecondFi, may be incomplete, inaccurate, or out of date, and does not constitute a recommendation or assurance of any outcome. You rely on any such information at your own risk.
Currency conversion rates, fiat equivalents, exchange rates, and similar values displayed on or through the Platform are provided for convenience and informational purposes only and may be sourced from third-party data providers, market data feeds, blockchain oracles, exchanges, aggregators, or other external sources. SecondFi does not independently verify, audit, or guarantee the accuracy, completeness, timeliness, availability, or reliability of any such rates or values, and is not responsible for any loss, discrepancy, or other outcome arising from your reliance on them. Content and information made available via the Platform, including token descriptions, analytics, yields, APYs, market data, educational materials, or any other information, is provided for general informational purposes only.
8.4.
Nothing on the Platform constitutes, or should be construed as, financial, investment, trading, legal, tax, or other professional advice, or a recommendation or solicitation to buy, sell, hold, or otherwise deal in any Digital Asset or to use any protocol or service.
8.5.
You must make your own independent decisions about whether to use the Platform, interact with any Digital Asset or protocol, or engage in any transaction, and you should seek advice from independent professional advisers as appropriate.
8.6.
Nothing on the Platform (including any interface, page, screen, communication, or content) constitutes or should be construed as a public offer, solicitation, invitation, or recommendation to any person to purchase, subscribe for, sell, hold, or otherwise deal in any Digital Asset or to use any protocol, product, or service. The availability, display, or accessibility of any product, feature, or service via the Platform interface does not mean that it is suitable or lawful for you, or that it is being offered to you personally in any particular jurisdiction. You are solely responsible for determining whether any transaction, product, or service is appropriate for you in light of your objectives, experience, financial situation, and applicable laws and regulations.
All rights, title, and interest in and to the Platform (including its software, code, interfaces, designs, logos, trademarks, and content) are owned by SecondFi or its licensors. Your access to and use of the Platform does not transfer to you any ownership rights.
9.2.
Subject to your compliance with these Terms, SecondFi grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, lawful purposes.
9.3.
You must not copy, modify, distribute, reverse engineer, decompile, disassemble, or create derivative works from any part of the Platform, except as expressly permitted by applicable law or these Terms.
9.4.
All third-party names, logos, trademarks, service marks, content, software, data, materials, and other intellectual property referenced, displayed, or made available through or in connection with the Platform are the property of their respective owners. No rights in any third-party intellectual property are granted to you except as expressly permitted by the relevant owner or applicable terms.
9.5.
User feedback and submitted content. If you provide SecondFi with any feedback, suggestions, ideas, feature requests, ratings, reviews, comments, support communications, or other content or information (collectively, "Feedback"), you grant SecondFi a perpetual, irrevocable, worldwide, royalty-free, fully sub-licensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit such Feedback for any purpose, including improving the Platform, without any obligation of confidentiality, attribution, or compensation to you. You represent and warrant that you own or have the necessary rights to submit any Feedback and that it does not infringe the rights of any third party. SecondFi is under no obligation to review, act upon, or implement any Feedback.
“As is” basis. The Platform is provided on an “as is” and “as available” basis without any warranties or representations of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or security.
10.2.
No guarantee of outcomes. Without limiting the foregoing, we do not warrant that:
(a)
the Platform will be uninterrupted, secure, or free of errors, defects, or vulnerabilities;
(b)
any transaction you initiate will be executed at a particular time or on particular terms;
(c)
any yield, return, or reward will be achieved; or
(d)
any Digital Asset will maintain any particular value, utility, or legal status.
10.3.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by applicable law.
Nothing in these Terms operates to exclude or limit liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by gross negligence or for fraud.
11.2.
To the maximum extent permitted by law, in no event shall SecondFi, its affiliates, or their respective directors, officers, employees, or agents be liable to you or any third party for any (a) indirect, incidental, special, punitive, or consequential losses; (b) loss of profits, revenue, business, or opportunity;
(c) loss of data or corruption of data; (d) loss of goodwill; or (e) loss or damage arising from or relating to any (i) blockchain or smart contract malfunction, hack, or exploit; (ii) market volatility; (iii) reliance on any information available on the Platform; (iv) action or inaction of any third-party service provider; or (v) unauthorised access to your wallets or credentials.
11.3.
Subject to clause 11.1, and to the extent permitted by law, the aggregate liability of SecondFi to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed, in the aggregSubject to clause 11.1, and to the extent permitted by law, the aggregate liability of SecondFi to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed, in the aggregate, the greater of (a) the fees (if any) paid by you to SecondFi for use of the Platform in the 12 months preceding the event giving rise to the claim, and (b) USD 10,000.ate, the greater of (a) the fees (if any) paid by you to SecondFi for use of the Platform in the 12 months preceding the event giving rise to the claim, and (b) USD 10,000.
You agree to indemnify, defend, and hold harmless SecondFi, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, demands, actions, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable legal and professional fees) arising out of or relating to: (a) your breach of these Terms; (b) your use or misuse of the Platform; (c) your violation of applicable law; or (d) any claim from a third party relating to your Digital Assets, wallets, or use of any third-party services.
We may amend these Terms from time to time. Updated Terms will be posted on the Platform or otherwise notified to you.
13.2.
Unless otherwise stated, amended Terms will take effect when posted. Your continued access to or use of the Platform after the effective date constitutes your acceptance of the amended Terms.
13.3.
We may provide notices or communications by posting them on the Platform, sending them to the email or other contact details you have provided, or by any other reasonable means. Notices to SecondFi should be sent to: info@secondfi.io.
We may, at any time and in our sole discretion, suspend or terminate your access to all or part of the Platform, or block or restrict your ability to use certain features, if we reasonably believe that (a) you have breached these Terms; (b) your use of the Platform presents a risk to us, other users, or any third-party; (c) we are required to do so by law, a court order, or a competent authority; or (d) we decide to discontinue the Platform or any relevant feature.
14.2.
Suspension or termination will not affect the execution or validity of on-chain transactions already initiated, which remain subject to the rules of the relevant blockchain networks.
14.3.
You may stop using the Platform at any time. These Terms will continue to apply to any use of the Platform occurring before termination and to any continuing obligations which by their nature are intended to survive termination (including clauses relating to intellectual property, disclaimers, limitation of liability, and indemnification).
Unless we specify otherwise in relation to a particular product or service, these Terms, your access to and use of the Platform, and any products or services provided by or through the Platform, and any dispute, controversy, or claim (including non-contractual disputes or claims) arising out of or in connection with any of the foregoing, including any question regarding the existence, validity, interpretation, performance, breach, or termination of these Terms or any such use, product, or service (a "Dispute"), shall be referred to and finally resolved by arbitration administered by the International Chamber of Commerce ("ICC") under the Rules of Arbitration of the International Chamber of Commerce (the "ICC Rules") then in force, which rules are deemed to be incorporated by reference into this clause. The seat (legal place) of arbitration shall be Tokyo, Japan. The tribunal shall consist of one arbitrator appointed in accordance with the ICC Rules, unless the parties agree otherwise in writing. The language of the arbitration shall be English. The law of this arbitration agreement, and the law governing these Terms, your use of the Platform, and any products or services provided by or through the Platform, shall be the laws of Singapore, without regard to conflict of law principles. The arbitral award shall be final and binding on the parties, and judgment upon the award may be entered in any court of competent jurisdiction, to the extent permissible under applicable law.
15.2.
To the extent permitted by applicable law, you agree that any dispute will be conducted solely on an individual basis and not as part of a class, consolidated, or representative action.
No third-party beneficiaries. Except as expressly provided otherwise in these Terms, no person other than you and SecondFi has any rights under these Terms or may enforce any provision of these Terms, whether under contract, statute, or otherwise.
16.2.
Data and privacy. In operating the Platform, SecondFi generally does not require or request personally identifiable information for on-chain interactions, and most activity occurs via public blockchain addresses and transactions that are outside of SecondFi's control and may be permanently and publicly recorded. If you voluntarily provide contact details or other personal information (for example, through support requests or account features), we will process such information only for the limited purposes described in our applicable privacy notices and retain it only for as long as reasonably necessary for those purposes or as required by law. You acknowledge that (a) data recorded on public blockchains cannot be altered or deleted by SecondFi; and (b) your use of the Platform does not create any obligation for SecondFi to erase, edit, or restrict access to on-chain data.
16.3
Entire agreement. These Terms constitute the entire agreement between you and SecondFi regarding your use of the Platform and supersede any prior agreements or understandings relating to the same subject matter.
16.4
Conflicts with other information. If there is any inconsistency between these Terms and any other information or materials about the Platform (including marketing materials, FAQs, help centre articles, blogs, social media posts, or other communications), these Terms will prevail. Such other materials do not create any additional obligations or warranties on the part of SecondFi beyond those expressly set out in these Terms.
16.5.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
16.6.
No waiver. A failure or delay by SecondFi to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.
16.7.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without your prior consent.
16.8.
No partnership or agency. Nothing in these Terms is intended to create any partnership, joint venture, agency, fiduciary, or employment relationship between you and SecondFi.
16.9.
Language. These Terms may be translated into other languages. In the event of any inconsistency or conflict between the English version and a translated version, the English version shall prevail.
